These Terms of Service ("Terms") govern your access to and use of the website, products, and services provided by VantEdge Logistics Inc. ("VantEdge," "we," "us," or "our"), including TerminalBOSS, Wheelhouse, and Conformii.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you may not use our services.

1. Services

VantEdge provides software solutions for energy logistics, terminal automation, and regulatory compliance. Our products include:

• TerminalBOSS: Terminal automation software for truck and rail operations.
• Wheelhouse: Cloud-based logistics platform for scheduling, shipment management, and rail EDI integration.
• Conformii: AI-powered regulatory compliance monitoring and management.

Access to our products is governed by a separate service agreement between VantEdge and the subscribing organization. These Terms apply to general website use and interactions with VantEdge.

2. Account Registration

Certain features of our services may require you to create an account. You agree to provide accurate and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

You must notify us immediately at [email protected] if you suspect unauthorized access to your account.

3. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to our systems, networks, or other users' accounts
• Interfere with or disrupt the integrity or performance of our services
• Reverse engineer, decompile, or disassemble any part of our software
• Use our services to transmit malicious code, spam, or harmful content
• Reproduce, distribute, or create derivative works from our content without permission

4. Intellectual Property

All content, software, trademarks, and intellectual property on our website and within our products are owned by VantEdge Logistics Inc. or its licensors. You may not use, copy, modify, or distribute any of our intellectual property without prior written consent.

Your operational data processed through our platforms remains your property. We do not claim ownership of your data.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of using our services. This obligation survives the termination of these Terms.

6. Service Availability

We strive to maintain high availability of our services. However, we do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

For product-specific uptime commitments, refer to your service agreement.

7. Payment Terms

If you subscribe to our paid services, payment terms are governed by your service agreement. All fees are due as specified in your agreement and are non-refundable unless otherwise stated.

8. Limitation of Liability

To the maximum extent permitted by applicable law, VantEdge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of our services.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid to VantEdge in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Indemnification

You agree to indemnify, defend, and hold harmless VantEdge, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our services or violation of these Terms.

11. Termination

We may suspend or terminate your access to our services at any time, with or without cause, upon reasonable notice. Upon termination, your right to use our services ceases immediately.

Provisions that by their nature should survive termination will survive, including intellectual property rights, confidentiality, limitation of liability, and indemnification.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of Calgary, Alberta.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.
